Agent Access Online Database License Agreement

By entering a password below to access the Agent Access database you agree to the following conditions: ELITE Combines agrees to provide user with a limited license to use certain materials prepared by ELITE Football Services, which materials are trade secrets of ELITE Combines (the trade secrets are hereinafter referred to as "Confidential Information.") The Confidential Information shall consist of password access to the Agent Access Online Player Database. User agrees to use the Confidential information only to review player data in order to compare players and recruit new clients. Information provided may not be published or resold in any manner. User acknowledges that such Confidential Information is the sole property of ELITE Pro Football Regional Combines. User agrees that this Agreement entitles use of the Confidential Information until expiration of paid subscription term. User recognizes that ELITE Combines attaches significant value to the confidential information and therefoe agrees: 1. NOT TO SELL, TRANSFER, LICENSE OR IN ANY MANNER DIVULGE THE CONFIDENTIAL INFORMATION TO THIRD PARTIES; 2. TO TAKE SUCH STEPS AS ARE NECESSARY TO PREVENT DISCLOSURE OF THE CONFIDENTIAL INFORMATION TO THIRD PARTIES; 3. TO HOLD SUCH CONFIDENTIAL INFORMATION IN STRICT CONFIDENCE; 4. NOT TO USE SUCH CONFIDENTIAL INFORMATION FOR ANY PURPOSE EXCEPT AS STIPULATED HEREIN WITHOUT PRIOR WRITTEN CONSENT OF SCOUT CAMP. 5. NOT TO PUBLISH THE CONFIDENTIAL INFORMATION IN ANY FORM. All of the Confidential Information shall remain the property of ELITE Football. Should Agent breach this Agreement, user agrees that the harm to ELITE Football will be immediate and irreparable, and that the user will be enjoined by any court of competent jurisdiction from disclosing the Confidential Information and that ELITE Football shall be entitled to seek any other damages available to ELITE Football at law or in equity for breach of this Agreement. This Agreement shall be binding upon the users, user's firm, its principals, officers, and employees. This Agreement shall be construed in accordance with the laws of the state of Indiana. Any dispute arising from, or related to this Agreement shall be brought in court of appropriate jurisdiction located in Marion County, Indiana, USA.
